Ambica Agarbathies & Aroma Industries Ltd has informed BSE that the Board of Directors of the Company at its meeting held on June 04, 2008, inter alia, has decided the following:

1. To offer 28,00,000 Share warrants on preferential basis as per the chapter XIII of SEBI Guidelines for Preferential Issues, subject to necessary provisions & approvals.

2. An Extra Ordinary General Meeting of the members of the Company be convened on July 03, 2008 for seeking approval of the shareholders for the said preferential Issue, by sending notices to shareholders.

3. The relevant date for the purpose of determination of price at which the share warrant be offered on Preferential basis shall be June 03, 2008, being 30th day prior to the date of EGM.
