Gokaldas Exports Ltd has informed BSE that the Company proposed to pass Special resolutions through Postal ballot for:

1. Alteration of Articles of Association,

2. Appointment and fixation remuneration of Managing Director,

3. Appointment of Mr. Madanlal J Hinduja as Executive Chairman and fixing of his remuneration,

4. Increase of remuneration of Mr. Dinesh J Hinduja, Executive Director- Production & Marketing,

5. Increase remuneration to Mr. Vivek M Hinduja, Chief Operating Officer (Marketing),

6. Increase remuneration to Mr. Ashwin R Hinduja, Chief Operating Officer (Production) and

7. Appointment of Mr. Gaurav D Hinduja, Chief Operating Officer (Marketing).

The despatch of Postal Ballot forms to the members has been completed on June 18, 2008.
