IEC Softwares Ltd has informed BSE that the Board of Directors of the Company at its meeting held on June 27, 2008, inter alia, has considered the following:

1. Appointment of Mr. Navin Gupta as Additional Director and subsequently Managing Director of the Company subject to the approval of the shareholders.

2. To convene 14th Annual General Meeting of the Company on August 06, 2008.

3. Change of Registered office of the Company from M-92, Connaught Place, New Delhi to 5 Sant Nagar, East of Kailash, New Delhi - 110065.

4. To execute agreement with Vocational Education Trust to establish and maintain Womens’ Technical College and School at Alwar. This agreement is the first initiative in Company’s endeavours to enter the other verticals of Education industry.

5. To take on record declaration of postal ballot result announced by the Chairman on June 27, 2008.
