Intra Infotech - Outcome of Board Meeting
Intra Infotech Ltd has informed BSE that the Board of Directors of the Company at its meeting held on February 15, 2008, inter alia, has carried out the following important business:
1. Certificate from the Chartered Capital and Investment Ltd., The manager to the open offer.
The certificate issued by the manager to the open Offer, The Chartered Capital and Investment Ltd. dated February 15, 2008 certifying that all the compliances regarding the open offer to the shareholders of the Company by M/s. Fortune Buildprop (P) Ltd. In accordance with Substantial acquisition of shares and voting rights as required by Regulation 10 & 12 of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers), Regulations 1997 [(SEBI) Regulations, 1997] has been take on record.
2. Change of Director and Management.
In pursuance of the open offer, the change of Director and Management has been taken on record. Accordingly Mr. Pramod Sharma, Mr. Kapil Tyagi, Mr. B S Negi and Mr. Rahul Singh ceased to be the Director of the Company with immediate effect and they are no more in the management of the Company. M/s. Fortune Buiidprop (P) Ltd has become the promoter of the Company and taken over the Management of the Company through its nominee, Mr. P K Tondon, Ms. Anuradha Kapoor and Mr. Gopal Krishan Chopra as the Director of the Company.
3. Appointment of the Director
Mr. P K Tondon, Ms. Anuradha Kapoor and Mr. Gopai Krishan Chopra has been appointed as the Additional Director of the Company.
4. Resignation of the Director
The resignation of Mr. Pramod Sharma, Mr. B S Negi, Mr. Rahul Singh and Mr. Kapil Tyagi from the Directorship has been accepted and they ceased to be the Director of the Company with immediate effect.
5. Acquisition of Shares
Total 41831960 equity shares representing 73.67% of the total share capital of the Company out of which 10205000 equity share acquired through share purchase agreement dated September 25, 2007 from outgoing promoters and 31626960 equity shares acquired from public shareholders under the Open Offer has been transferred in the name of Fortune Buiidprop (P) Ltd, the new promoter of the Company.
Consequent to the acquisition of 73.67% stake in the equity capital of Intra Infotech Ltd, the Company had become a subsidiary of Fortune Buildprop (P) Ltd.
6. Change in Registered office
The Registered office of the Company has been shifted from 704, 7th Floor, Deepali Building, 92, Nehru Place, New Delhi- 110 019 to 9, Tolstoy Marg, Connaught Place, New Delhi-110001.
