New Delhi Television Ltd (NDTV) has informed BSE that the members of the Company will consider to approve by way of Postal Ballot the Ordinary Resolution for the approval of the Memorandum of Agreement (”MoA”) amongst Universal Studios International B.V., NBC Universal, Inc., New Delhi Television Ltd and NDTV Networks B.V., which has been laid at the registered office of the Company for inspection by the shareholders and the transaction envisaged in the MoA, subject to necessary provisions & approvals.

The Company has appointed Mr. V P Kapoor, Company Secretary in practice, as the Scrutinizer for conducting the Postal Ballot process in a fair and transparent manner.

The Postal Ballot form duly completed should reach the scrutinizer on or before the close of working hours on March 17, 2008. The scrutinizer will submit his report to the Chairman after completion of the scrutiny and the results of the postal ballot will be announced on or March 24, 2008.
