Technocraft Industries India Ltd has informed BSE about the Minutes of the Court Convened Meeting held on March 24, 2008 as per Section 391 of the Companies regarding Amalgamation of Danube Fashions Ltd (100% Subsidiary of Technocraft) with the Company.

In this meeting the following resolutions are passed as Special Resolution :

“Pursuant to provisions of Section 391 - 394 and all other applicable provisions if any, of the Companies Act, 1956 and other applicable laws, if any and subject to the approval of the Hon’ble High Court of Bombay the Scheme of Arrangement embodied in the Scheme of Arrangement between Danube Fashions Ltd (Transferor Company) and Technocraft Industries (India) Ltd and its shareholders with effect from the appointed date of April 01, 2007 as placed before the meeting and initialed by the Chairman for the purpose of Identification be and is hereby approved.”
