Vedant Hotels Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on April 30, 2008, inter alia, to transact the following business:

1. To consider Unaudited Financial Results for the quarter ended on March 31, 2008.

2. To consider a Scheme of Arrangement under section 391 and 394 of the Companies Act, 1956 comprising amalgamation between Maharashtra Hospitality Ltd And Vedant Lapidary Pvt Ltd with the Company and other restructuring measures.

3. To ratify actions taken by RTA.
