Morgan Stanley India Company Pvt Ltd (”Manager to the Offer”), on behalf of MindTree Ltd (MindTree Consulting Ltd) (”Acquirer”), has issued this Public Announcement (”PA”) to the Shareholders of Aztecsoft Ltd (”Target Company”), pursuant to and in compliance with among others, Regulation 10 & 12 of Chapter III of the Securities and Exchange Board of India (Substantial Acquisition of Shares & Takeovers) Regulations, 1997 and subsequent amendments thereto (the “SEBI Takeover Regulations” or the “Regulations”).

The Offer:

The Acquirer hereby making an Offer to acquire up to 93,06,381 Equity shares, representing 20% of the voting capital, from the public shareholders of the Target Company, at a price of Rs 80/- (Rupees Eighty only) per equity shares (the “Offer Price”), payable in cash subject to the terms and conditions mentioned in the PA.
