Dhunseri Tea - Updates
Dhunseri Tea & Industries Ltd has informed BSE that with reference to the earlier announcement dated March 31, 2008 about the decision of the Board of Directors of the Company approving the draft Scheme of Amalgamation of Unistock Pvt Ltd. with the Company subject to sanction of the various authorities and Hon’ble High Court of Kolkata.
The Scheme of Amalgamation of Tezpore Tea Company with the Company is already in an advanced stage and the said Tezpore Tea Company Ltd is also holding 2.15% of shares in South Asian Petrochem Ltd. Further more, Unistock Pvt Ltd also holds about 14.32% shares in South Asian petrochem Ltd.
As the Company’s existing pre-acquisition holding in South Asian Petrochem Ltd is 19.67% the post acquisition holding, after considering the inter-se transfers as well as the pending amalgamations, will aggregate to more than 50% shares in South Asian Petrochem Ltd., making it a Subsidiary of the Company as on March 31, 2008.
