Kerala Chemicals - Notice of Postal Ballot
Kerala Chemicals & Proteins Ltd has informed BSE that the members of the Company will consider to approve by way of Postal Ballot the following resolutions:
1. To change the name of the Company from “Kerala Chemicals and Proteins Ltd” to “Nitta Gelatin India Ltd” & consequential amendment in the memorandum and Articles of Association of the Company.
2. To alter the Object Clause of the Memorandum of Association of the Company:
i. To substitute the following in place of sub clauses 1-8 of the Main Objects Clause
“To manufacture, import, export, trade and deal, in Ossein and products and components of Ossein, Di Calcium Phosphate and products and components of Di Calcium Phosphate, Gelatin and products and components of Gelatin and its related products and components, raw material for Ossein including Degreased bone and Crushed Bone and related products viz. tallow, Bone Meal, and other bone products, meat and meat products, other components used for the manufacture of Gelatin like Chitosan, Fish, Oil et., organic manure and other derivatives and components and by products obtained during the course of manufacture of the above and run slaughter houses, independently or in joint venture.”
ii. To delete the present sub-clause 1 of the Objects incidental or ancillary to the entitlement of the main objects.
iii. To insert the present sub clauses 2-7 of the Main Objects as sub-clauses 1-6 in the objects incidental or ancillary to the attainment of the main objects and consequently to the renumber the existing sub clauses.
3. To alter the Articles of Association of the Company.
The Board of Directors has appointed Shri. K Jayan, Practicing Company Secretary, as the Scrutinizer for conducting the Postal Ballot process in a fair and transparent manner.
The Postal Ballot form duly completed should reach the scrutinizer before the close of working hours on or before May 16, 2008. The scrutinizer will submit his report to the Chairman after completion of the scrutiny and the results of the postal ballot will be announced on or after May 19, 2008.
