Shamken Cotsyn Ltd has informed BSE that the Board of Directors of the Company in its meeting held on January 31, 2008 has decided to allot on preferential basis as earlier approved by the members in its Annual General Meeting dated December 31, 2007 to offer, issue and allot to the promoters & promoters group equity share in following manner:

- No. of shares : 7,36,606

- Face value : Rs 10/- each

Total Amount : Rs 73,66,060/-

As the application money is pending with the Company since 2003, therefore management has decided to allot the same.

Hereby management has decided in its meeting to allot these equity shares of the Company on preferential basis to the promoters and promoters group in the following manner:

1. Mr. H B Chaturvedi
- No of Share : 2,20,982

2. Mr. Sanjay Chaturvedi
- No of Share : 2,20,982

3. Mr. Amit Chaturvedi
- No of Share : 2,94,642.
