Sharon Bio-Medicine Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on March 05, 2008, inter alia, to consider the following:

1. To Authorize Board to make application for delisting of equity shares from Pune Stock Exchange & Hyderabad Stock Exchange.

2. To add new object clause relating to Power Generation & Distribution in other Objects of Memorandum of Association.

3. To consider a proposal of merger of M/s. Stonewood Cem-Fab (India) Pvt Ltd, Wholly owned subsidiary of the Company.

The above matters shall be dealt through Postal Ballot to the extent of its applicability.
