Sree Sakthi Paper Mills Ltd has informed BSE that members of the Company, will consider to approve, by way of Postal Ballot the following Resolutions:

1. To alter the Objects Clause of the Memorandum of Association of the Company by adding the following new sub clause 5, 6 and 7 after the existing sub clause 4 of Clause III C (Other Objects):

“5. To carry on the business of generation of power, transmission, distribution, trade or otherwise deal with the power / electricity by conventional and non - conventional methods.

6. To carry on the business of producing, generating, storing, distributing, buying, selling or dealing in any form of energy and power, hydro electric power, thermal power, wind power, solar power for motivating industrial, electrical or mechanical activities and also to deal in assembling, designing, construction, servicing, manufacturing of plant and machinery for generation, transmission and distribution of power and selling the power generated.

7. To carry on the business of dam sites, roads, buildings and other infrastructure activities.”

2. For commencing and undertaking the business of implementation of hydro power projects and other infrastructure activities specified in newly introduced sub clauses 5, 6 and 7 of Clause III C (Other Objects) of the Memorandum of association of the Company as and when deemed fit by the Board of directors, subject to necessary provisions & approvals.

The Board of Directors has appointed Mr. K P Gopi Mohan of M/s. Gopi Mohan, Satheesan & Associates, Practicing Company Secretaries as Scrutinizer for conducting this Postal Ballot voting process in a fair and transparent manner.

The Postal Ballot Form should be returned so as to reach the Scrutinizer on or before May 20, 2008. The Scrutinizer will submit his report to the Chairman after the completion of the scrutiny and the result will be declared on May 23, 2008.
