Dazzel Confindive Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on April 28, 2008, inter alia, to consider the following business:

1. To consider and adopt the quarterly results (provisional) for the Fourth quarter ended March 31, 2008;

2. To allot 20,00,000/- (Twenty lacs) Equity Shares of Rs 10.00 (Rs Ten only) at a premium of Re 1 per share issued to promoters and non promoters on preferential basis on conversion of 20,00,000 Convertible Warrants of Rs 11 (Rs Eleven only) per warrant.
