Dhanlaxmi Fabrics Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on July 31, 2008, inter alia, to transact the following business:

1. To take on record and approve the Unaudited quarterly Financial Results of the Company for the Quarter ended on June 30, 2008.

2. To adopt and approve the Balance Sheet as at March 31, 2008 and Profit & Loss Account for the year ended on the same date.

3. To consider and approve the draft report of the Directors for the year ended March 31, 2008.

4. To consider re-appointment of S G Kabra & CO., Chartered Accountants as Statutory Auditors of the Company.

5. To take on record the financial statements of the Subsidiary Companies for the year ended March 31, 2008.

6. To declare Dividend.

7. To fix the Date & Venue of Annual General Meeting.

8. To consider & approve an investment upto Rs 2 crores for setting up a Garment Unit with 40% of stake therein to be set up by a Private Limited Company.
