Envair Electrodyne Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on July 30, 2008, inter alia, to consider the following:

1. Increase in Authorised Share Capital of the Company from Rs 4/- Crores to Rs 5.50 crores by addition of 15,00,000 Equity Shares of Rs 10/- each.

2. Alteration of Clause V Memorandum of Association of Company.

3. Alteration of Articles of Association of Company.

4. Proposal for Rights Issue to meet the fund requirements.

5. To approve Unaudited Financial Results for the Quarter ended June 30, 2008.
