Kalindee Rail Nirman Engineers Ltd has informed BSE that a meeting of the Board of
Directors of the Company will be held on February 18, 2008, inter alia, to consider the following:

1. To consider the allotment of convertible equity warrants to promoters.

2. To consider the raising of funds through equity by way of QIP upto Rs 150 crores.

3. To consider the calling of EGM to approve the placement of equity through QIP.

4. To consider the Appointment of Merchant Bankers / Investment Bankers / Advisors.
