Softbpo Global - Notice of Postal Ballot

Softbpo Global Services Ltd has informed BSE that the members of the Company will consider to approve by way of Postal Ballot the following Resolutions:

1. To alter the Objects Clause of the Memorandum of Association of the Company.

2. To create mortgage(s), charge(s), hypothecation and / or floating charge(s) on all or any of the immovable and / or movable assets / properties of the Company, present and future, of every nature and kind whatsoever, as the undertaking of the Company in certain events notwithstanding that such creation of mortgage(s) / charge(s) may be construed as sale, lease or otherwise disposing off, the whole, or substantially the whole of the undertaking of the Company, or where the Company owns more than one undertaking, of the whole, or substantially the whole; of any such undertaking to secure Term loans / Working Capital facilities / External Commercial Borrowings / Debentures etc. the aggregate value of which shall not exceed Rs 50,00,00,000/- (Rupees Fifty Crores Only) from Financial institutions / Banks and other agencies / Parties with interest, additional interest, liquidated damages, commitment charges, premia on prepayment or on redemption, costs, charges already created or to be created in future by the Company in such manner and in such forms as may be deemed prudent, desirable and necessary by the Board of Directors of the Company, subject to necessary provisions and approvals.

3. To borrow from time to time all such sum(s) of money (including External Commercial Borrowings in foreign denominated currencies from any foreign sources / foreign countries as prescribed by statutory guidelines, if any, in this regard) in such manner including but not limited to issue of debentures, as may be deemed necessary prudent for the purposes of the Company, notwithstanding that the money(s) to be borrowed together with the money(s) already borrowed by the Company and outstanding (apart from the temporary loans obtained or to be obtained from the Company?s bankers in the ordinary course of business) may exceed the aggregate of the paid-up capital and free reserves of the Company i.e. reserves not set apart for any specific purposes, provided that the total sum amount borrowed / to be borrowed by the Board of Directors shall not at any time exceed the limit of Rs 50,00,00,000 (Rupees Fifty Crores Only), subject to necessary provisions & approvals.

The Company has appointed Mr. Nayaran Rathi, Partner of M/s. Rathi & Associates, Company Secretaries, as Scrutinizer for conducting the Postal Ballot process in a fair and transparent manner.

The Postal Ballot form duly completed should reach the scrutinizer on or before May 06, 2008. The scrutinizer will submit his report to the Chairman after completion of the scrutiny and the results of the postal ballot will be announced on May 09, 2008.
