Softpro Systems - Board Meeting on Apr 07, 2008
Softpro Systems Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on April 07, 2008, inter alia, to consider the following:
1. To take note of the status of Open offer by Sahasra Investments Pvt Ltd (SIPL), Mr. G Bala Reddy and Mrs. G Velangini Mazy as per the provisions of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 1997 and subsequent amendments thereof (SEBI Takeover Regulations).
2. To consider and approve the transfer of Sale Shares in favour of the Acquirer to the above mentioned Open offer.
3. To consider and approve appointment of the Purchaser Directors, as directors of the Company.
4. To consider and approve the Resignations of outgoing Directors.
5. To consider and approve Change of Management in favour of the Acquirers.
6. To elect Chairman of the Board of Directors.
