Taneja Aerospace - Notice of Postal Ballot
Taneja Aerospace & Aviation Ltd has informed BSE that the shareholders of the Company, will consider to approve, by way of Postal Ballot the ordinary resolution for transfer of its undertaking comprising of the airfield located at Hosur, hangars, associated buildings and equipments, related licenses etc. (”Airport Business”) as a going concern to a subsidiary Company or Special Purpose Vehicle (SPV) by way of sale or otherwise and on such terms of transfer as the Board of Directors may deem fit, proper and expedient and for a consideration and other terms that may be mutually agreed between the Company and the subsidiary Company or the SPV as the case may be, subject to necessary provisions & approvals.
The Company has appointed Shri. Milind B Kasodekar as Scrutinizer for the purpose of Postal Ballot exercise.
The duly completed postal ballot form should reach the Scrutinizer not later than the close of working hours on February 26, 2008.
The result of the Postal Ballot shall be announced by the Chairman, or in his absence by any other person, so authorized by the Chairman at the 18th Annual General Meeting of the Company scheduled to be held on February 28, 2008.
