UTV Software Communications Ltd has informed BSE that the approval of the members under 31 and Section 372A of the Companies Act, 1956 was sought by means of Postal Ballot pursuant to Section 192A of the Companies Act, 1956 read with Companies (Passing of the Resolution by Postal Ballot) Rules, 2001, to substitute the existing Articles of Association with the new set of Articles and also to accord their consent and ratify corporate guarantee issued/provided by the Board in excess of the limits prescribed under section 372A.

Consequently, the Resolutions as mentioned in the notice is passed.
