Vimal Oil & Foods Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on July 22, 2008, inter alia, to transact the following business:

1. To take on record the Quarterly Unaudited Financial Results (provisional) for the Quarter ended on June 30, 2008.

2. To consider increase in Authorised Share Capital.

3. To consider increase in Borrowing power of the Company.

4. To consider, approve change in terms of appointment of the Managing Director.

5. To fix the date of Extra Ordinary General Meeting.
