Vivimed Labs Ltd has informed BSE that the Board of Directors of the Company at its meeting held on June 28, 2008, inter alia, has transacted the following:

1. The Board recommended payment of 10% dividend (Re 1/- per Fully Paid Equity Share of the Company).

2. Board approved withdrawal of offer of 1880000 Convertible Warrants on preferential basis to promoters and persons other than promoters. This issue was approved by Annual General Body in the meeting held on December 26, 2007.
