1. To consider and approve Un-audited Financial Results (Provisional) for the 4th Quarter ended on June 30, 2008.

2. Appointment of Statutory Auditors and fixed their remuneration.

3. To approve Balance Sheet for the year ended on March 31, 2008, and Profit and Loss account as on that date.

4. To approve Directors’ Report to the Shareholders.

5. To consider retirement of Directors by Rotation.

6. To fix day, time and place for convening of 15th Annual General Meeting of the Shareholders.

7. To consider closure of Register of Members and Share Transfer Books of Equity Shareholders.

8. To consider and approve re-appointment of Mr. Naishadbhai Patel as Managing Director of the Company.

9. To consider and approve re-appointment of Mr. Atish Patel as Executive Director of the Company.

Adarsh Plant Protect Ltd has informed BSE that the Board of Directors of the Company at its meeting held on April 27, 2008, has considered re-appointment of Mr. Naishadbhai Patel as Managing Director of the Company and Mr. Atish Patel as Executive Director of the Company and the same would be put up at next meeting of the Board of Directors for its approval and subject to approval of the Members at the ensuing Annual General Meeting.
