1. To consider and approve the Audited financial results for the financial year ended on March 31, 2008.

2. To consider and approve the Balance Sheet and Profit & Loss A/c for the year ended on March 31, 2008.

3. To consider and recommend Dividend on Equity Shares, if any.

4. To consider and approve the draft of Directors’ Report of the Company for the year ended March 31, 2008.

5. To consider and approve Notice convening the 36th Annual General Meeting of the Company.

6. To consider and approve the proposal for Re-appointment of Managing Director of the Company.

7. To consider and approve the proposal for Re-appointment Executive Director of the Company.

Alps Industries Ltd has informed BSE that the Board of Directors of the Company at its meeting held on May 31, 2008, inter alia, has reviewed and approved the following items :

1. Annual declarations under section 299 of the Companies Act, 1956, received from the directors of the Company.

2. Declarations under section 274 (1) (g) of the Companies Act, 1956, received from the directors of the Company.

3. Declarations received from all the directors and officers one level below the Board of Directors in respect of compliance of Code of Conduct of the Company.

4. The creation of securities in favour of various Banks / Financial Institutions.

5. The amendment in authorization to deal with various laws with regard to Haridwar Units.

6. Sale of investment in Bulland Buildmart Pvt Ltd.

Alps Industries Ltd has informed BSE that the Company will not declare the Unaudited Financial Results for the last quarter ended on March 31, 2008 and will provide and declare the Audited Financial Results on or before June 30, 2008. Hence, there will be no Board Meeting during April 2008 for Financial Results.
