Arvind Chemicals Ltd has informed BSE that the Company exercises its option to submit the Audited Financial Results For the entire financial period ended March 31, 2008 with three months from the end of the financial period.
Hence, the Company will not submit the un-audited financial results for the last quarter ended March 31, 2008 within one month from the end of the quarter.
Arvind Chemicals Ltd has informed BSE that pursuance to the Order dated January 28, 2008 of the Hon’ble High Court, Kolkata, an Extra Ordinary General Meeting of the Shareholders of the Company has been held on March 08, 2008.
The shareholders of the Company at the aforesaid meeting have passed the requisite
resolution and approved the Scheme of Amalgamation of M/s. Arvind Commodities Ltd with the Company subject to the sanction of the Scheme by the Hon’ble High Court, Kolkata.
According to the Scheme of Amalgamation, two shares of the Company i.e. Arvind Chemicals Ltd will be issued for every one share of the Transferor Company i.e. Arvind Commodities Ltd.
Arvind Chemicals Ltd has informed BSE that pursuant to order made by the Hon’ble High Court at Calcutta, a meeting of the equity shareholders of the Company will be held on March 08, 2008, for the purpose of considering and if thought fit, approving with or without modification, the Scheme of Amalgamation proposed to be made between M/s. Arvind Commodities Ltd with the Company.
