BMB Music & Magnetics Ltd has informed BSE that a meeting of shareholders of the Company approved by special resolution on June 30, 2008 for utilization of balance of the share premium account to the extent required to adjust Rs 4,80,36,723.34 i.e. amount of business losses, under the provisions of Companies Act, 1956.

The Company proposes to make an petition with the Hon’ble High Court in due course under section 101 and other applicable provisions of the Companies Act, 1956.

1. Consider and adopt the audited Balance Sheet as at March 31, 2008 and Profit and Loss Account for the year ended on March 31, 2008.

2. Appoint the Auditors of the Company.

3. To Appoint Shri. Mahavir Chand Bokadia, Shri. Azaga Thamizmane & Shri. Rajeev Jain as directors of the Company.

4. To Approve as Special Resolution the Adjustment of Losses with the Share Premium Account as per Provisions of the Section 78, 100 to 103, 391 to 394 and subject to the sanction of the Hon’ble High Court of Jaipur.

5. To Neogiate the Sale Consideration of Two Films, i.e. The Challenge and Don’t Worry, with M/s. Sangeeta Pictures.

6. To Re-instate the shares of the Company at Jaipur Stock Exchange, Calcutta Stock Exchange and the Chennai Stock Exchange.

7. To Give Final Notice for Forfeiture of partly paid up shares.
