Bombay Oxygen Corporation Ltd has informed BSE that the members at the 47th Annual General Meeting (AGM) of the Company held on June 23, 2008, inter alia, have accorded the following:

1. Adoption of Audited Balance Sheet as at March 31, 2008 and the Profit & Loss account for the year ended on that date together with the reports of Directors and Auditors thereon.

2. Declaration of Dividend @ Rs 20/- per Equity Share.

3. Re-appointment of Mr. Mohan Bir Singh & Mr. Ajit M Ghelani as Directors of the Company.

4. Appointment of M/s. K G Shah & Co., Chartered Accountants as the Statutory Auditors of the Company to hold office from the conclusion of this meeting until the conclusion of the next Annual General Meeting.

Bombay Oxygen Corporation Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on May 20, 2008 to consider and adopt financial statements, i.e. Balance Sheet, Profit and Loss Account and Cash Flow for the year ended March 31, 2008 and Directors’ Report, Notice of ensuing Annual General Meeting.

The Directors shall also consider the recommendation of Dividend, if any, for the financial year.

Bombay Oxygen Corporation Ltd has informed BSE that the last quarter of the financial year, the Company will not adopt the un-audited quarterly financial results for the quarter ended March 31, 2008 within 30 days from the end of the financial year. The Board will approve the annual audited financial results for the year ended March 31, 2008 within 90 days i.e. on or before June 30, 2008.
