Brakes Auto India Ltd has informed BSE that the Company at Nardana, Dhulia, is developing an Integrated Project. However due to non-availability of water and power, the Company’s project is delayed for further 8 to 9 months. MIDC has brought from 35km and the Company’s power connection was given by a small feeder (for constructional work) that was not capable to meet Company’s requirement. Nardhana industrial water was supplied from the river that dried up and the water was not available therefore MIDC and Govt. of Maharashtra made permanent arrangement for water and power as under.

Brakes Auto India Ltd has informed BSE that the Company, apart from the present business of automobiles has also undertaken the business of gems & jewellery stated in SI. No. 29 of the “Other Objects” Clause in paragraph III of the Memorandum of Association of the Company. The same was approved in the general meeting on March 12, 2008 by passing a special resolution through postal ballot.

Brakes Auto India Ltd has informed BSE that the Members of the Company by way of postal ballot have passed the following Special Resolutions:

1. To alter the Memorandum of Association of the Company by inserting the following Clause in the Other Objects Clause by numbering it as Clause 29:

“29. To carry on the business of manufacturing, buying, selling, importing, exporting, supplying distribution; dealing in and trading of gems, Jewellery, diamonds, gold refiner, goldsmiths, silversmiths, jewellers, gem merchants, hirers, dealers, stockists, agents, importers & exporters of bullion, diamonds, pearls, and other precious stones, jewels, gold, silver, platinum & other precious & semi-precious metals, ornaments, jewellery, articles of value made partly or fully of above-mentioned materials, stones or metals as the Company may consider capable of conveniently dealt with in relation-to the said business and to establish factories, show-rooms, strong rooms and agencies for the above mentioned business in India and abroad.”

2. To give approval to the Commencement by the Company of New Business as provided in Clause No. 29 of the Other Objects Clause of the Memorandum of Association of the Company.
