Century Plyboards India Ltd has informed BSE that the Board of Directors of the Company at its meeting held on June 26, 2008, inter alia, has conducted the following businesses:

1. The Board recommended dividend @ 50% i.e. 50 paise per equity share (of Re 1/- denomination).

2. Resignation of Mr. Santanu Ray from the Directorship of the Company was considered and accepted by the Board.

3. Mr. S B Ganguly was appointed as an Additional independent Non-Executive Director of the Company. Mr. Ganguly was also elected as Non-Executive Chairman of the Company.

Century Plyboards India Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on June 26, 2008, inter alia, to consider the following:

1. Audited Final Accounts and Consolidated Final Accounts for the financial year ended March 31, 2008.

2. Recommendation of dividend, if any, for the financial year 2007-08.

3. Appointment of Shri. S B Ganguly as an Additional Director of the Company.

4. Appointment of Chairman of the Company consequent to resignation of Shri. B L Agarwal from acting Chairmanship of the Company and becoming Chairman emeritus.

5. Date, time and venue for the next Annual General Meeting and dates for Book Closure.

Century Plyboards India Ltd has informed BSE that the Board of Directors of the Company at its meeting held on April 16, 2008, inter alia, has taken the following decisions:

1. The Board approved allotment of 24,51,886 equity shares of Rs 10/- each and 5,00,000 Preference Shares of Rs 10/- each of the Company to the shareholders of erstwhile Century Panels Pvt Ltd, Sharon Veneers Pvt. Ltd. and Sharon Wood Industries Pvt. Ltd., whose names appeared in the Register of Members as on Record date, as per the Scheme of Amalgamation approved by the Hon’ble High Courts at Calcutta and Delhi.

2. Shri. Banwari Lal Agarwal, Chairman of the Company resigned from the Board. The Board, while accepting his resignation, requested him to continue as Chairman emeritus and guide the Board of Directors to which Shri. Agarwal agreed. So, Shri. Banwari Lal Agarwal is now Chairman Emeritus of the Company.

3. Shri. Nagraj Tater, Executive Director of the Company, resigned from the Board, but agreed to remain in the services of the Company.

4. The Board appointed Shri. Prem Bhajanka, Director of erstwhile Century Panels Pvt. Ltd. and Shri. Vishnu Khemani, Director of erstwhile Sharon Veneers Pvt, Ltd. and Sharon Wood Industries Pvt. Ltd., as Directors of the Company. Shri. Prem Bhajanka and Shri. Vishnu Khemani will be involved in the day-to-day affairs of the Company and will be suitably designated and remunerated as per the recommendation of the Remuneration Committee of the Company, which will meet shortly to decide the same.

Century Plyboards India Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on April 16, 2008, inter alia, to consider the following:

1. To allot shares to the shareholders of erstwhile Century Panels Pvt Ltd., Sharon Veneers Pvt Ltd and Sharon Wood Industries Pvt Ltd as per the Scheme of Amalgamation approved by the Hon’ble High Courts at Calcutta and Delhi.

2. To fix record date for split of equity shares of the Company from Rs 10/- denomination to Re 1/- denomination, which is already approved by the shareholders through Postal Ballot.

Century Plyboards India Ltd has informed BSE that the Company’s Scheme of Amalgamation, whereby three Companies, namely Century Panels Pvt Ltd., Sharon veneers Pvt. Ltd. and Sharon Wood Industries Pvt. Ltd. will amalgamate with the Company with effect from the appointed date April 01, 2007, has been approved by Hon’ble High Court at Calcutta on March 05, 2008 and by Hon’ble High Court at Delhi on February 27, 2008. The Company is now awaiting certified copies of the Orders of both the Hon’ble High Courts for onward filing with the respective Registrars of Companies.

Century Plyboards India Ltd has informed BSE that the members of the Company, by way of postal ballot, have unanimously passed the ordinary resolution for sub-division of each Equity Share of face value of Rs 10 into 10 (Ten) Equity Shares of the face value of Re 1 each.
