Cera Sanitaryware Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on May 24, 2008, inter alia, for considering the following:

1. To take on record the quarterly results of the Company for the quarter ended March 31, 2008.

2. To adopt Audited Annual Accounts for the year ended March 31, 2008.

3. To recommend dividend on Equity Shares for the year 2007-08.

4. To consider change in terms of appointment - Shri. Vikram Somany as Chairman-cum-Managing Director.

5. To consider change in terms of appointment - Shri. S K Nema as Whole Time Director.

6. To consider change in terms of appointment - Shri. Vidush Somany as Executive Director.

Cera Sanitaryware Ltd has informed BSE that the Board of Directors of the Company at its meting held on April 11, 2008, has approved the appointment of Shri. S K Nema as Chief Executive Officer (CEO) from Chief Operating Officer (COO). The Board has also approved the appointment of Shri. S K Nema as an additional director and Whole Time Director of the Company subject to approval of Central Government or any other authority w.e.f. June 01, 2008 or from such other date as the Central Government or any other authority may specify, whichever is later.

Cera Sanitaryware Ltd has informed BSE that the Company has offered 10,00,000 warrants to the promoters group as per the resolution passed by the shareholder at their Extra-ordinary General Meeting held on January 21, 2008. The size of the issue of warrants is reduced to 8,00,000 warrants due to withdrawal of offer of 2,00,000 warrants by Ms. Deepshikha Khaitan, member of promoters group.
