Empee Distilleries Ltd has informed BSE that the members at the 23rd Annual General Meeting (AGM) of the Company held on March 10, 2008, inter alia, have accorded to the following:

1. Adoption of the audited Balance Sheet of the Company as at September 30, 2007, the Profit & Loss Account for the year ended on that date, the Reports of the Auditors and the Directors thereon.

2. Re-appointment of Mr. M K Mohan and Lt. Gen. R S Nagra (Retd.) as Directors of the Company, liable to retire by rotation.

3. Re-appointment of Mr. N C Ananthakumar, as Auditors of the Company, to hold office from the conclusion of this Annual General Meeting till the conclusion of the next Annual General Meeting of the Company, on remuneration, terms and conditions.

4. Appointment of Mr. Shaji Purushothaman as an Director of the Company who was appointed as an Additional Director, liable to retire by rotation.

Empee Distilleries Ltd has informed BSE that the Board of Directors of the Company at its meeting held on March 10, 2008, Mr. Shaji Purushothaman has been appointed as Managing Director of the Company for a period of 5 years with effect from March 10, 2008. His appointment will be in line with the provisions of Schedule XIII of the Companies Act, and subject to the approval of the shareholders at the forthcoming General Meeting of the Company.

Mr. M P Purushothaman has relinquished his office as the Managing Director of the Company with effect from March 10, 2008. He will however continue as the Chairman of the Board of Directors.
