Garware Wall Ropes Ltd has informed BSE that a meeting of the Committee of Board of Directors (CoD) viz. “Shareholders’/Investors’ Grievances and Share Transfer Committee”, will be held on May 24, 2008, inter alia, to consider allotment of 9,98,000 Equity Shares of Rs 10/- each to the Promoter entities and 9,98,000 Equity Shares of Rs 10/- each to GWRL-Managerial Staff Welfare Trust, arising out of exercise of option for conversion into equity shares in respect of Convertible Warrants already allotted / issued on preferential basis, pursuant to the Resolution passed at the Extra Ordinary General Meeting held on December 16, 2006.

Garware Wall Ropes Ltd has informed BSE that pursuant to the resolution passed by the Board of Directors of the Company at its meeting held on January 25, 2008, the Company has taken action on April 09, 2008, to acquire 10,000 equity Shares of Rs 10/- each, i.e. entire share capital of Garware Environmental Services Pvt Ltd (GESPL). Consequently the GESPL has become a wholly owned subsidiary of Garware Wall Ropes Ltd.

With reference to earlier announcement dated March 13, 2008, regarding CoD Meeting on Mar 21, 2008, Garware Wall Ropes Ltd has informed BSE that for want of quorum, the meeting of the Committee of Board of Directors viz. “Shareholders’ / Investors’ Grievances and Share Transfer Committee”, stands adjourned to March 28, 2008.
