Geodesic Information Systems Ltd has informed BSE that the Board of Directors of the Company at its meeting held on July 07, 2008, inter alia, has discussed and decided the following:

1. Considered and recommended final dividend @20% on equity shares of the Company.

2. Decided that the AGM will be held on August 14, 2008.

3. Allotted 39,550 Equity Shares of Rs 2/- each, upon exercise of 39,550 options by Optionees under the Geodesic Employee Stock Option Plan 2002 granted in 2005 and 2006.

Consequently, with effect from July 07, 2008, the issued, subscribed and paid-up Equity Share Capital of the Company stands increased to Rs 1844,13,148/- divided into 9,2206,574 Equity Shares of Rs 2/- each.

Geodesic Information Systems Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on July 07, 2008, inter alia, to consider the following:

1. Take on record standalone and consolidated audited Balance sheet and Profit and Loss Account for the financial year ended on March 31, 2008.

2. To consider recommendation of Final Dividend on equity shares of the Company.

3. To decide date, time and venue of Annual General Meeting of the Company.

Geodesic Information Systems Ltd has informed BSE that Mr. Rahul Patwardhan, Non-Executive Director has resigned from the Board of Directors of the Company w.e.f. April 24, 2008 and he ceased to be a Director of the Company with immediate effect.

Further, the Board of Directors of the Company at its meeting held on April 24, 2008 has appointed Mr. Nitin Potdar as an Additional Director.

Geodesic Information Systems Ltd has informed BSE that the Board of Directors of the Company at its meeting held on April 07, 2008, has allotted 14,085 Equity Shares of Rs 2/- each, upon exercise of 14,085 options by Optionees under the Geodesic Employee Stock Option Plan 2002 granted in 2005 and 2006.

Consequently, with effect from April 07, 2008, the issued, subscribed and paid-up Equity Share Capital of the Company stands increased to Rs 18,43,34,048/- divided into 9,21,67,024 Equity Shares of Rs 2/- each.
