GTL Infrastructure Ltd has informed BSE that the Committee of the Board at its meeting held on March 24, 2008, has considered and approved allotment of 3,37,41,060 Equity Shares at a Conversion Price of Rs 40/- per share to Global Assets Holding Corporation Pvt Ltd., consequent to conversion of warrants issued on preferential basis.
GTL Infrastructure Ltd has informed BSE that the Committee of the Board at its meeting held on March 11, 2008, has considered and approved allotment of 8,15,045 Equity Shares consequent to conversion of FCCBs worth US$ 11,00,000 at a conversion price of Rs 53.04 per share, in terms of the Offering Circular dated November 24, 2007 for issue of U.S.$.300,000,000 Zero Coupon Convertible Bonds due 2012.
Further the Company has informed that, the Nomination & Remuneration Committee of the Board of Directors of the Company at its meeting held on March 11, 2008, has made an allotment of 17,00,000 (Seventeen lacs only) Options, in terms of Employees Stock Option Scheme 2005 (ESOS 2005) of the Company.
GTL Infrastructure Ltd has informed BSE that a meeting of the Committee of the Board will be held on February 29, 2008, to consider allotment of Equity Shares consequent to conversion notices received / to be received for conversion of FCCBs at a conversion price of Rs 53.04 per share, in terms of the Offering Circular dated November 24, 2007 for issue of U.S.$ 300,000,000 Zero Coupon Convertible Bonds due 2012.
With reference to the earlier announcement dated January 31, 2008 regarding Resignation of Mr. Lee Sek Hong (Mr. Michael Lee), Director, GTL Infrastructure Ltd has informed BSE that in the above matter, Mr. Michael Lee will neither be a Director in the Board of the Company nor would join the Company in any executive capacity.
