HT Media Ltd has informed BSE that:

1. Postal Ballot Notice pursuant to Section 192A of the Companies Act, 1956, seeking approval of the Members of the Company for (a) mortgage, hypothecation and / or otherwise charge immovable / movable properties of the Company in favour of banks / financial institutions / trustees for debenture holders etc. for securing term loan and in other financial facilities; (b) alteration in the Capital Clause of Memorandum of Association of the Company; (c) alteration in the Objects Clause of Memorandum of Association of the Company; and (d) alteration in the Articles of Association of the Company.

2. Abstract under Section 302 of the Companies Act, 1956.

HT Media Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on May 16, 2008, inter alia, to transact the following:

1. Consider, approve and take on record the Audited Financial Results of the Company for the financial year ended on March 31, 2008.

2. To consider recommendation of dividend for the FY 2007-08, subject to approval of the shareholders at the Annual General Meeting.

HT Media Ltd has informed BSE that with effect from May 01, 2008, the Company’s wholly owned subsidiary, viz., Firefly c-Ventures Ltd has launched a new job portal., namely, www.shine.com.

The portal is about jobs and careers; and offers features like job matching technology, privacy and anonymity protection, salary benchmarking tool, research section and career advice section, to name a few.

HT Media Ltd has informed BSE that the Company proposes to publish the audited financial results of the Company for the financial year ending on March 31, 2008 within three months from the close of the last quarter of the financial year ending on March 31, 2008.

Accordingly, the un?audited financial results for the quarter ending on March 31, 2008 shall not be published by the Company.
